JURIDEX ABOGADOS S.A.S. is a commercial company incorporated under Colombian law, identified with NIT. 900845177-6, with its principal place of business in the city of Cali, which presents and establishes the following Terms and Conditions that regulate the agreements and responsibilities between JURIDEX ABOGADOS S.A.S. (hereinafter, “JURIDEX”) and you, (hereinafter, “USER”), in relation to your participation in our Website:

www.juridex.co (hereinafter “PLATFORM”) that offers legal services.

We appreciate you reading carefully and reviewing the regulations established here as they are mandatory; therefore, if you do not agree, you must refrain from using the Site and its contents and from using its services. By accepting these Terms and Conditions, the USER acknowledges and declares that they are of legal age and that they are fully capable of accepting and being subject to what is described in this document.

1. DEFINITIONS:

1.1. USER: Refers to the natural or legal person who accesses, browses, knows, uses the services or performs any type of activity, whether free or paid, through the PLATFORM.

1.2. SERVICES: Refers to the legal services offered by JURIDEX through the PLATFORM and any other activity related to the legal and intellectual property field that the USER may contract, know or access through the PLATFORM.

1.3. PLATFORM: Refers to the electronic commerce PLATFORM which allows the USER to know and/or access the services offered by JURIDEX. It refers to all web content, all links, microsites, pop-ups, notices, advertisements, pages, blog and content derived from www.juridex.co

2. PARTICIPATION IN THE PLATFORM:

2.1. Access to the PLATFORM is not subject to prior registration or subscription by the USER. However, access to some of the SERVICES of the PLATFORM may be subject to prior registration. When using the PLATFORM or registering, the USER declares that they have legal capacity and that there is no impediment to contract the SERVICE and manage the functionalities of the PLATFORM. Thus, the USER is obliged to:

2.1.1. Provide personal information, whether their own or that of third parties, that is true, correct, current, complete and authorized.

2.1.2. Maintain and update personal data and information at all times in order to keep it truthful, correct, current and complete. If you provide information that is false, inaccurate, outdated or incomplete, or if JURIDEX has reasonable grounds to suspect that such information does not comply with the foregoing, JURIDEX will have the right to suspend or close the account and deny you the present use or future use of the PLATFORM, as well as suspend and terminate the SERVICES immediately.

2.1.3. Be together with the tutor or representative who authorizes the acceptance of these Terms and Conditions (TYC), as well as the data processing policy when they are a minor or legally have a tutor or representative.

2.1.4. Not copy or alter the pages or content that JURIDEX offers on the Internet, or associate them with other Internet pages.

3. SERVICES:

3.1. JURIDEX makes available to the USER, through the PLATFORM, information about the legal services it offers. However, the information and materials contained on this Site are not intended to be, nor should they be interpreted as, legal advice, legal recommendation or advice of any kind. Access to and use of this Site, as well as the information provided on the PLATFORM, do not imply or generate an attorney-client relationship or any other type of professional link. The PLATFORM does not constitute in any case the provision of legal services. The USER must not use the PLATFORM, its contents or the information contained therein as a basis for structuring legal strategies, making legal decisions, developing businesses or undertaking legal actions. At no time should it be interpreted that this PLATFORM replaces professional consultation with a lawyer. If you require legal advice, JURIDEX recommends that you immediately seek a qualified lawyer who will analyze your case and provide you with appropriate advice. It is important to keep in mind that the information available on this PLATFORM is not exhaustive and should not be considered as a definitive guide to resolve specific legal situations.

3.2. The information available on the PLATFORM about regulations, legal provisions or matters of legal interest may not be updated, be partial or, in certain cases, not correspond to the current regulations or applicable to particular situations. In this sense, JURIDEX does not guarantee the accuracy, validity or suitability of such information to resolve specific situations or make legal decisions. The USER is recommended to refrain from carrying out actions, designing strategies or making decisions based solely on the information published on the PLATFORM. To ensure a correct interpretation and application of the legal provisions, it is essential to consult with a qualified lawyer.

3.3. JURIDEX may present the USER with a personalized commercial proposal that details the terms, conditions, scope and values associated with the SERVICE required. The objective of this proposal will be to provide a clear and detailed description of the activities, obligations and costs involved, facilitating the USER’s evaluation and informed decision-making regarding the contracting of the SERVICE.

4. VALUES OF THE SERVICES:

4.1. The rates for the services offered by JURIDEX may be available on the PLATFORM for the USER’s knowledge. These rates may include various components, professional fees, taxes, entity fees and other values related to the selected services.

4.2. Rates and fees are subject to modification without requiring prior notice to the USER. Such changes will not affect the SERVICES with respect to which there is already a confirmation.

4.3. In cases where JURIDEX presents a commercial proposal to the USER, the validity of this will be determined in the proposal itself. If a term of validity is not specified, it will be understood to be seven (07) calendar days from the date of sending.

4.4. Direct expenses, such as translations, legalizations, official fees, tickets, travel expenses, courier services and others that may arise as a direct consequence of the provision of the SERVICES, will be charged independently. If such expenses are generated, these will be reflected in detail in the corresponding invoices and will be borne by the USER. JURIDEX assumes no responsibility for damages, losses or inconveniences caused by external providers that provide these services.

5. USER OBLIGATIONS: The USER, when using the PLATFORM or contracting the SERVICE, is obliged to:

5.1. Provide JURIDEX with truthful, accurate, complete and updated information. 5.2. Assume responsibility for the accuracy of the data and documents presented during the process.

5.3. Comply with all reasonable instructions and requests from JURIDEX to guarantee the correct development of the SERVICE process.

5.4. Make the payment of all fees and values indicated on the PLATFORM within the stipulated period.

5.5. Make the payment of all fees and values that are informed by JURIDEX and accepted by the USER.

5.6. Accept and comply with the Terms and Conditions established on the PLATFORM.

6. JURIDEX OBLIGATIONS:

6.1. Provide the SERVICE chosen by the USER diligently and in accordance with the Terms and Conditions, with the legal procedures and applicable regulations. 6.2. Keep the USER duly informed about the status and progress of the process, as well as any news or requirements that may arise during the same. 6.3. Maintain the confidentiality of the data and information provided by the USER, unless there is a legal requirement or express authorization from the USER.

7. INTELLECTUAL PROPERTY:

7.1. The intellectual property rights, including trademarks, notices, trade names, commercial advertising, drawings, designs, logos, texts, among other related elements that appear on the JURIDEX PLATFORM, are the exclusive property of JURIDEX or third parties who, previously and expressly, have authorized JURIDEX for its use. Any use or exploitation by any means, without the prior written consent of JURIDEX, of any content included in the PLATFORM is prohibited.

7.2. The USER agrees to respect the intellectual property rights of third parties and not to infringe them when using the PLATFORM. In the event that the USER becomes aware of any infringement of intellectual property rights by other users of the PLATFORM, they must notify JURIDEX immediately so that the corresponding measures can be taken.

7.3. The USER grants JURIDEX authorization to use their trade name, registered trademark, slogan or trade name, for the purpose of promoting the services provided by JURIDEX on the PLATFORM. This authorization is limited exclusively to the scope of the JURIDEX PLATFORM and aims to publicly highlight and recognize the efforts and services of JURIDEX. This authorization does not imply, in any way, the transfer of any intellectual property right related to the trademark or intellectual property rights

of the USER.

8. PROCESSING AND PROTECTION OF PERSONAL DATA:

8.1. The USER acknowledges and accepts that the personal information provided during the registration process and the use of the PLATFORM will be collected and used by JURIDEX exclusively for purposes related to the operation and SERVICES offered by JURIDEX. This information may include, but is not limited to, names, addresses, telephone numbers, email addresses and other information necessary for the provision of the SERVICES offered by JURIDEX.

8.2. JURIDEX is committed to protecting the privacy of the USER in compliance with Statutory Law 1581 of 2012, partially regulated by Decree 1377 of June 27, 2013 and other applicable regulations.

8.3. JURIDEX undertakes to use the USER’s personal information confidentially and only for the purpose for which it was collected. It will not disclose, sell or share such information with unauthorized third parties, unless required by law or express consent is obtained from the USER.

8.4. The USER accepts that by using the PLATFORM and providing personal information, they grant their consent for the processing of their data in accordance with the Terms and Conditions established herein and with the Privacy Policy of JURIDEX. 9. LIMITATION AND EXEMPTION OF LIABILITY:

9.1. JURIDEX will carry out the necessary actions for the provision of the SERVICE chosen by the USER, obligations that will be of means and not of result. 9.2. JURIDEX is free not to proceed with the SERVICE acquired by the USER or the PROCEDURE when it does not meet the requirements for the proper development of the PROCEDURE in charge of the third party or JURIDEX.

9.3. In no case will JURIDEX be liable for indirect damages, loss of profits, consequential damages or other types of financial or commercial damages.

9.4. JURIDEX does not guarantee the availability and continuity of the operation of the PLATFORM as it is constantly being updated, and consequently does not guarantee that said PLATFORM will operate permanently and free of failures, nor will it assume any responsibility for damages suffered by the USER for the non-use or impossibility of use of the information or SERVICES provided through the PLATFORM, nor is it responsible for any damage or harm to the USER’s software or hardware, which derives from access to its digital publication or from the use of information or applications contained therein.

9.5. JURIDEX will not be liable for damages, losses or losses that the USER or a third party has or may have due to failures in the communication PLATFORM or the internet connection. Therefore, the USER assumes all risks derived from the actions they voluntarily carry out.

9.6. JURIDEX in no case will be liable for crimes committed through its PLATFORM, however, it is empowered to carry out the actions that may take place to improve the control and security of this.

9.7. JUIDEX makes its best efforts to ensure that all content and information included in the PLATFORM are correct. However, JURIDEX cannot guarantee the veracity of the contents and information of the PLATFORM, so it does not assume any responsibility for the veracity, accuracy, authenticity, correspondence with reality, fidelity, exhaustiveness, completeness, integrity or precision of any information and content included in this Site.

10. PROHIBITIONS: The USER agrees that it is expressly prohibited: 10.1. Use the PLATFORM for illicit, illegal or bad faith purposes. 10.2. Provide false or inaccurate information when creating your user on the PLATFORM or requesting a SERVICE.

10.3. Make use of any type of content without having the authorization or license to do so. 10.4. Upload to the PLATFORM images, documents, videos, recordings, among others, without having the authorization of the owner of this, or with content that affects the privacy of any person or that contains viruses or malware that puts the PLATFORM at risk.

10.5. Attempt to access, use or manipulate the data of the PLATFORM. 10.6. Reproduce, copy or distribute any element that is part of the PLATFORM, without the corresponding authorization.

10.7. Perform or attempt reverse engineering, decompile or reverse compile, disassemble, list, print or display the software, firmware, middleware or any other part of the source code, object code or compiled code that integrates the PLATFORM or any of its programs or components, or by any other means obtain the source code or other information from the PLATFORM.

11. CONFLICT RESOLUTION:

11.1. Any dispute or claim arising from the use of the PLATFORM will be resolved through good faith negotiations between the parties.

11.2. In the event that the negotiations do not reach a satisfactory solution, the parties agree to submit to the jurisdiction of the competent courts of the jurisdiction where JURIDEX operates.

12. TOTAL AGREEMENT:

12.1. The parties agree that the acceptance and compliance with these Terms and Conditions implies the waiver of any right or claim derived from prior agreements, commitments, representations or guarantees, except to the extent that such rights or claims are expressly incorporated in these Terms and Conditions.

12.2. In case of discrepancies between the previous versions and these Terms and Conditions, the most recent and updated Terms and Conditions will prevail.

12.3. These Terms and Conditions will not prevent particular, specific or different contracting conditions from having been agreed in the accepted fee proposal between the USER and JURIDEX, which must be approved by JURIDEX and will prevail over the general conditions, although these may integrate what is established in said proposal.

13. CANCELLATION:

13.1. JURIDEX reserves the right to cancel or terminate a USER’s account in case of breach of the Terms and Conditions, fraudulent activities or any other justified reason.

14. MODIFICATIONS AND TERMINATION:

14.1. JURIDEX reserves the right to modify or update these Terms and Conditions at any time. Modifications will take effect upon publication on the PLATFORM. It is the USER’s responsibility to periodically review the updated Terms and Conditions. Continued use of the PLATFORM after any modification will constitute acceptance of the Terms and Conditions by the USER.

15. LAW AND APPLICABLE JURISDICTION:

15.1. The general conditions that regulate the use of the PLATFORM are governed by the laws of the Republic of Colombia.

15.2. Any dispute or conflict that arises between JURIDEX and the USER, due to the entry and/or use of the portal and the SERVICES provided therein, will be brought before the judges of the Republic of Colombia and will be resolved in accordance with the laws of the Republic of Colombia without giving effect to the conflict with other laws of other countries or their current state of residence.

15.3. If, for any reason, the court of competent Jurisdiction considers any clause or part of the Conditions indicated in the Terms and Conditions indicated in any part of this document to be inapplicable, the rest of the general conditions retain their binding force, binding nature and will continue to apply in their total effect.

16. DURATION AND TERMINATION:

16.1. These Terms and Conditions have an indefinite duration. However, JURIDEX is authorized to unilaterally suspend or terminate the relationship of any USER, without prior notice and without the right to compensation.

17. COOKIES:

17.1. Cookies are small data files that are downloaded to your device to store information and are stored in the USER’s browser. They allow a web page to store and retrieve information about browsing habits, thus remembering different parameters and information about the USER.

17.2. The JURIDEX PLATFORM is likely to use cookies and tagging actions to measure the efficiency of the SERVICE. All information collected is completely anonymous. However, the USER has the option of rejecting cookies or tagging actions, but this rejection could mean that the USER does not benefit from all the features of the PLATFORM.

17.3. In accordance with Law 1581 of 2012, cookies could form a database by collecting personal data with these characteristics: (i) they have exclusive and own aspects of a natural person, (ii) they allow the person to be identified, to a greater or lesser extent; (iii) their property resides exclusively in the owner and (iv) their treatment is subject to special rules (principles) regarding its collection, administration and disclosure. In which case, JURIDEX must abide by the rules on data protection, especially the application of the guiding principles for the administration of data of legality, purpose, freedom, veracity or quality, transparency, access and restricted circulation, security and confidentiality. 18. ACCESSIBILITY:

18.1. The JURIDEX PLATFORM is available 24 hours a day, 7 days a week. Thus, the USER may access it at any time. Access to the PLATFORM is free, unless the USER wishes to purchase a SERVICE.

18.2. JURIDEX reserves the right to suspend the PLATFORM at any time and without prior notice for maintenance, testing, among others, without implying the payment of penalties or compensation to the USER.

18.3. JURIDEX is in no case obliged to guarantee, among others, the minimum operating time of the PLATFORM.
